Introduction
These Terms and Conditions govern your use of this website and your relationship with SPROM Workwear regarding any quotation, order, or purchase of SPROM Workwear products.
Interpretation
Capitalized terms have the meanings defined in these Terms, regardless of whether they appear in singular or plural.
Acknowledgment
These Terms govern the use of this Service and the agreement between You (the customer, distributor, or corporate buyer) and SPROM (“the Company”). They set out the rights and obligations of all users and customers.
Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. By accessing or using the Service, or by placing an order, You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not use the Service.
Your access is also conditioned on Your acceptance of the Company’s Privacy Policy, which describes how We collect, use, and disclose Your personal and company information.
B2B Orders & Quotations
Quotations
All sales are conducted on a quote basis. A quotation issued by SPROM is valid for the period stated on that quotation. Prices, specifications, and availability are subject to change after the stated validity period without notice.
Placing an Order
An order is only confirmed once the customer has accepted a SPROM quotation in writing (signed purchase order, email confirmation, or equivalent) and SPROM has issued a written order acceptance. No order is binding on SPROM until such acceptance is given.
Pricing Errors
If a quotation or order reflects an incorrect price or product information due to a typographical or clerical error, SPROM reserves the right to correct, refuse, or cancel the affected order. Where payment has already been made on an order later cancelled for this reason, SPROM will issue a full refund or credit.
Distributors & Corporate Accounts
Companies, distributors, dealers, and resellers wishing to purchase must register and be approved as a corporate account. Approved accounts may be granted standing pricing, catalogue access, or credit terms at SPROM’s discretion.
Order Finality
Once an order is confirmed and accepted, product, quantity, and delivery details are considered final and cannot be amended after production or dispatch has commenced. An incorrect delivery address supplied by the customer may result in additional charges for redirection.
Stock & Availability
All orders are subject to product availability at the time of confirmation. Where an ordered item is unavailable or on backorder, SPROM will offer the customer a substitute product, a revised lead time, or a full refund/credit on the affected item.
Payment & Dispatch
Orders are released for production and/or dispatch only upon receipt of payment in full or an agreed deposit, unless credit terms have been approved in advance. Prices are quoted in US Dollars (USD) and are exclusive/inclusive of applicable taxes as stated on the quotation.
Delivery
Delivery timelines and shipping costs will be confirmed on the official quotation for each order. The customer is responsible for arranging and covering any onward transport and customs clearance where applicable. Where an order includes backordered items, the full order will be held for joint dispatch unless the customer requests staged shipment, in which case additional freight costs apply per shipment.
Product Use & Safety
Before using any SPROM product, the customer must read and understand its intended application, safety technology, and the accompanying User Instruction Manual. Improper use can result in injury. SPROM is not liable for injury resulting from correct or incorrect use of its products.
General Website & Legal Terms
Links to Other Websites
The Service may contain links to third-party websites not owned or controlled by SPROM. SPROM assumes no responsibility for the content, policies, or practices of such third-party sites and is not liable for any damage or loss arising from reliance on them.
Termination
SPROM may suspend or terminate a customer’s access to the Service, or refuse to process an order, without prior notice, including in cases of breach of these Terms, non-payment, or fraudulent activity.
Limitation of Liability
Except as otherwise stated under B2B Orders & Quotations, SPROM’s total liability arising from use of this website or the Service shall not exceed the amount actually paid by the customer for the relevant order. SPROM shall not be liable for indirect, incidental, or consequential damages, including loss of profits or business interruption, arising from the use of or inability to use the Service.
“As Is” Website Disclaimer
This website and its content are provided “AS IS” and “AS AVAILABLE.” SPROM makes no warranty that the website will be uninterrupted, error-free, or free of viruses or other harmful components. Content is provided for general information only and does not replace the technical specifications confirmed on an official SPROM quotation or datasheet.
Governing Law
These Terms, and any quotation, order, or transaction between the customer and SPROM, are governed by the laws of the Democratic Republic of Congo, including applicable commercial and trade regulations, without regard to conflict-of-law principles.
Dispute Resolution
In case of a dispute, the parties agree to first attempt an informal resolution by contacting SPROM directly before pursuing any other remedy.
Severability
If any provision of these Terms is held unenforceable, that provision will be modified to reflect its original intent as closely as possible, and the remaining provisions remain in full force.
Translation
Where these Terms are made available in French or another language, the English version shall prevail in case of conflict.
Changes to These Terms
SPROM reserves the right to modify these Terms at any time. Material changes will be communicated with reasonable notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
